Terms & Conditions (CGV)
These Terms & Conditions govern the use of the Soliden marketplace by professional buyers and suppliers. By creating an account or using the platform, you accept them.
1. Scope and role of Soliden
Soliden operates a digital B2B marketplace that facilitates contact, negotiation and order management between professional buyers and suppliers of food products and related services.
Soliden is not the owner of the goods traded on the platform and is not a party to the sales contracts concluded between buyers and suppliers. Each seller remains fully responsible for the conformity, legality and quality of the products supplied.
2. Accounts, eligibility and verification
The platform is reserved for professional users (companies, cooperatives, producers, wholesalers, retailers, HoReCa, etc.). When registering you commit to providing accurate and up-to-date information about your company and your role.
Soliden may request supporting documents (trade register extracts, identity documents, proof of address, certifications) and may suspend or refuse access if the information is incomplete, inconsistent or fraudulent.
You are responsible for keeping your login credentials confidential and for any activity carried out from your account.
3. Use of the marketplace
Users agree to use Soliden in a professional manner, in compliance with applicable laws (food safety, competition, sanctions, data protection, etc.) and with respect for other users.
- No misleading or illegal product listings.
- No unauthorised copying of other users' offers or confidential information.
- No spamming, harassment or bypassing of security measures.
Soliden may temporarily or permanently suspend an account in case of serious breach of these rules or suspicion of fraud.
4. Quotes, orders and contracts
The platform offers tools to request quotes, negotiate conditions, confirm orders and follow deliveries. Any commercial commitment (price, quantities, quality, Incoterms, delivery times, payment terms) is agreed directly between buyer and supplier.
Once an order is confirmed on the platform, it constitutes a contractual commitment between buyer and supplier. Cancellations, returns and claims are handled primarily between those parties, using the messages and dispute tools provided by Soliden where necessary.
5. Prices, VAT & invoicing
Prices displayed on the marketplace are indicated by suppliers and may be shown with or without VAT depending on the country and the type of buyer. Each supplier remains responsible for applying the correct VAT rules and issuing compliant invoices.

6. Payments, logistics and risk transfer
Depending on the configuration, payments may be handled directly between buyer and supplier or via payment partners (for example, Stripe) integrated into the platform. When payment solutions are used, the relevant terms of those partners also apply.
Logistics (choice of carrier, Incoterms, insurance) are agreed between buyer and supplier. Risk and ownership of the goods are transferred according to the agreed terms. Soliden is not responsible for delays, damage or loss caused during transport.
7. Liability of Soliden
Soliden makes reasonable efforts to keep the platform available, secure and up-to-date, but cannot guarantee uninterrupted access or the absence of errors.
Within the limits allowed by law, Soliden is not liable for:
- the content or accuracy of information provided by users;
- the execution or non-execution of contracts between buyers and suppliers;
- indirect or consequential damages such as loss of profit or business.
8. Data protection and intellectual property
The processing of personal data is described in our Privacy Policy.
All texts, designs, logos and software used on the site are protected by intellectual property rights and remain the exclusive property of Soliden or its partners. You may use the platform and its content only for your internal business needs.
9. Changes and applicable law
Soliden may update these Terms & Conditions from time to time. The version published on the site at the time of your use applies. We will inform users in case of significant changes.
Unless otherwise required by mandatory local law, these Terms are governed by French law. Any dispute may be brought before the competent courts of the registered office of Soliden, after a good-faith attempt at amicable resolution.
